Executive Committee

Preamble:
The job of the executive committee is to reinforce the wholeness of the Board and so as not to interfere with the delegations from the Board to the President/CEO. The Executive Committee is to be available to the President/CEO and the Board Chair at times of an emergency and at times where the President/CEO or the Chair feel that he/she needs to confer with the Board of the Governors in-between regular scheduled Board meetings.

The job of the executive committee is to reinforce the wholeness of the Board and so as not to interfere with the delegations from the Board to the President/CEO. The Executive Committee is to be available to the President/CEO and the Board Chair at times of an emergency and at times where the President/CEO or the Chair feel that he/she needs to confer with the Board of the Governors in-between regular scheduled Board meetings.
Terms of Reference:
- The Executive Committee shall be comprised of the Chair of the Board of Governors and the two Vice Chairs.
- The committee will be called upon by the President/CEO or the Board Chair at times of emergency and at times when the President/CEO or Board Chair feel the need to confer with the Board of Governors in-between regular scheduled Board meetings.
- The committee is not a "de facto board". The committee is to reinforce the wholeness of the Board and so as not to interfere with the delegations from the Board to the President/CEO.
- The committee will meet via phone or in-person to hear the report from the President/CEO or the Board Chair on the pertaining issues/s within 24 hours of first contact of the President/CEO. The role of the committee is to determine if the concern is issue based and falls within the responsibility of the Board or falls within the responsibility of the President/CEO. If the issue falls to the responsibility of the Board it is then the role of the committee to determine the extent of urgency of the issue/s. Based on the committee's determination of the urgency of the issue/s, the committee may elect to convene the entire Board for an emergency meeting within 24 hours of this determination, or within five business days send an advisory memo via email to all members, or add the issue/s to the agenda of the next scheduled Board meeting.
- It is the obligation of the committee to report to the Board of Governors their full understanding of the issue/s brought forward and to the extent of urgency that the issue/s presents.
- It is the responsibility of the committee to notify the Board of any communication of request from the President/CEO and any finding the committee may have concluded.
